Terms of Service
Professional OEM/ODM LED silicone extrusion cooperation framework
1. Cooperation Scope
These Terms of Service apply to all business-to-business (B2B) transactions between our company and professional buyers, including but not limited to:
- Lighting brands, importers, wholesalers, and distributors
- Signage manufacturers and commercial contractors
- Project engineers and procurement managers
- OEM/ODM partners requiring custom LED silicone extrusion solutions
All orders, quotations, samples, and production services are governed by these terms unless otherwise agreed in writing.
2. Order Rules
Minimum Order Quantity
Standard products: MOQ varies by item (typically 100-500 meters)
Custom OEM/ODM: MOQ negotiable based on tooling and material requirements
Sample orders: Available for testing and approval
Payment Terms
New customers: 30-50% deposit, balance before shipment
Established partners: Net 30-60 days available upon credit approval
Accepted methods: T/T, L/C, PayPal (for samples)
Lead Time
Standard stock items: 3-7 business days
Custom production: 15-30 days after deposit and specification approval
Samples: 3-5 days for existing molds, 7-10 days for new tooling
3. OEM/ODM Customization Terms
Sampling & Prototyping
Sample fee: Charged for custom profile development, material testing, or new tooling. Fee is typically refundable upon production order confirmation (subject to MOQ).
Approval process: Buyer must provide written approval of samples before mass production. Any specification changes after approval may incur additional sampling costs.
Sample ownership: Physical samples remain property of the buyer. Technical drawings and tooling remain property of the manufacturer unless otherwise agreed.
Tooling & Mold Ownership
Tooling cost: For custom extrusion profiles or unique cross-sections, tooling/mold development costs may apply. Costs are quoted separately and payable before production.
Mold ownership: Unless buyer purchases tooling outright, molds remain property of the manufacturer. Buyer has exclusive use rights for the agreed product specification.
Tooling life: Manufacturer maintains tooling for minimum 2 years from last production run. Extended storage available upon request.
Intellectual Property
Buyer retains ownership of their brand, logos, and proprietary designs provided for customization.
Manufacturer retains ownership of manufacturing processes, material formulations, and production techniques.
Non-disclosure agreements (NDAs) available upon request for sensitive projects.
4. Quality Control & After-Sales
Inspection & Acceptance
Pre-shipment QC: All orders undergo internal quality inspection before packaging. Test reports available upon request.
Third-party inspection: Buyer may arrange independent inspection at factory. Coordination required 3 days in advance.
Receiving inspection: Buyer must inspect goods within 7 days of delivery and report any visible defects or discrepancies immediately.
Claims: Quality claims must be submitted with photos, batch numbers, and detailed description within claim period.
Warranty & Support
Material warranty: 12 months from shipment date for manufacturing defects (material degradation, extrusion defects, color inconsistency).
LED warranty: Follows LED component manufacturer's warranty (typically 2-3 years). Datasheet provided with order.
Exclusions: Damage from improper installation, voltage mismatch, environmental abuse, or unauthorized modifications not covered.
Resolution: Verified defects will be replaced or credited in next order. Return shipping costs negotiable based on defect rate.
5. Liability & Dispute Resolution
Breach of Contract
Order cancellation: Orders cancelled after production commencement may incur cancellation fees (material costs, tooling, labor) up to 50% of order value.
Payment default: Late payment beyond agreed terms may result in shipment hold, interest charges (1.5% per month), and suspension of future orders.
Specification changes: Changes requested after sample approval or production start may incur additional costs and delay delivery.
Limitation of Liability
Manufacturer's total liability for any claim is limited to the value of the specific defective goods or order in question.
Manufacturer is not liable for indirect, consequential, or incidental damages including lost profits, project delays, or third-party claims.
Buyer is responsible for verifying product suitability for their specific application and compliance with local regulations.
Dispute Resolution
Negotiation: Parties agree to attempt good-faith negotiation for 30 days before pursuing formal dispute resolution.
Mediation: If negotiation fails, parties may agree to non-binding mediation through a mutually acceptable mediator.
Arbitration: Unresolved disputes shall be settled by binding arbitration under the rules of the International Chamber of Commerce (ICC), conducted in English.
Governing law: These terms are governed by the laws of [Manufacturer's Jurisdiction], excluding conflict of law provisions.
Force Majeure
Neither party shall be liable for failure to perform obligations due to circumstances beyond reasonable control, including but not limited to: natural disasters, war, government restrictions, labor disputes, material shortages, or transportation disruptions. Affected party must notify the other party promptly and make reasonable efforts to resume performance.
